Manager, Securities and Compliance (Vancouver)


This is a Contract position in Vaughan, ON posted September 21, 2022.

The Company B2Gold is a low-cost international senior gold producer headquartered in Vancouver, Canada.

Founded in 2007, today, B2Gold has three operating gold mines and numerous development and exploration projects in various countries including Mali, the Philippines, Namibia, Colombia, Finland and Uzbekistan.

This year, B2Gold forecasts gold production to be 990,000 – 1,050,000 ounces.

Position Manager, Securities and Compliance Introduction Reporting to the SVP, Legal and Corporate Communications, this position is responsible for the day to day management of B2Gold’s corporate governance, public company disclosure obligations, and long-term incentive and security-based compensation plans.

The ideal candidate will be a highly motivated self-starter that is resourceful, autonomous, efficient, and highly effective working independently and within a team environment.

Having an opportunity to exercise their leadership skills, this position will be supported by a Legal Assistant who plays an integral role in the B2Gold’s legal team.

Location and Reporting Structure This position will be based at B2Gold Corporate Office in Vancouver, Canada with a flexible work arrangement option available.

Duties and Responsibilities Assist with general corporate governance, including preparing agendas, minutes and resolutions, and maintaining minute books and corporate records; Maintain updates to corporate governance policies and procedures, such as the Code of Conduct and Disclosure, Confidentiality and Insider Trading Policy, and administer policies (such as corporate blackout periods); Liaise with the Board of Directors on an ongoing basis in connection with Board and committee meetings and required resolutions, directors’ questionnaires etc.

Manage requests for information and documents from both internal and external auditors, regulators, partners and other stakeholders; Communicate with stock exchanges (TSX, NYSE American, Namibian Stock Exchange) and securities regulatory authorities and maintain the company in good standing with respect to ongoing requirements and filings; Manage the relationship with the share transfer agent and prepare all necessary documents and filings as required; Provide general administrative support for legal and corporate compliance activities; Identify, design and implement new processes and procedures to improve efficiency; Support the preparation, management and oversight of the legal group budget; Manage activities relating to security-based compensation plans (Stock Options, RSUs, PSUs, DSUs, RPUs), including grants, exercise, termination, and all related documentation, processing and recording of the activities; Support compliance with securities laws, including annual and quarterly filings on SEDAR, TSX forms and filings, insider trading reports on SEDI, annual shareholder meeting support, etc.; Support the preparation of key continuous disclosure documents, such as the Annual Information Form and Management Information Circular, among others; Preparation and filing of documentation pertaining to quarterly dividend payments and maintenance of register; Work with other members of the in-house legal team on special projects and initiatives, such as debt and equity financings and strategic acquisitions; and Perform other duties as required in support of Company objectives.

Required Qualifications/Skills Diploma from a recognized paralegal program; Minimum of seven years of corporate paralegal experience at a law firm and/or in-house legal department (both preferred); Excellent organizational skills and extreme attention to detail; Ability to uphold the highest standards of ethical conduct, discretion and confidentiality; Strong written and verbal communication skills; Quick learner that works well in a team environment but also able to work independently with minimum supervision; In addition to MSOffice, experience with Diligent Boards, Diligent Entities, Worldox and Shareworks an asset.

Additional Desired Qualifications: Prior experience in mining industry and French language ability considered assets Job Demands/Physical Requirements: B2Gold requires employees to be fully vaccinated (and maintain fully vaccinated status), subject to applicable human-rights related exemptions.
